KPH Supplies – Terms & Conditions

These terms and conditions constitute the binding agreement covering all sales and transactions involving the supply of goods and/or services by Cyber Universe Pty Ltd, trading as KPH Supplies, to the Customer.

For the purposes of these Terms:

“Customer” refers to any individual or entity that submits an order to purchase from KPH Supplies.
“Products” refer to all goods offered, sold, or supplied by us under any confirmed order.
“KPH Supplies” refers to Cyber Universe Pty Ltd, trading as KPH Supplies [ACN: 669 876 037].
“Order” means a purchase request placed by the Customer for any of our Products, whether through our website, email, or other sales channels.
“Both Parties” or “the Parties” means KPH Supplies and the Customer together.

1. Delivery Areas & Coverage

1.1 These Terms and Conditions represent the full contractual agreement between the parties. Any terms proposed by the Customer will not apply unless explicitly accepted in writing by us. By placing an order via our website, email, phone, or in-store, the Customer agrees that these Terms take precedence over any prior terms unless a separate KPH Supplies Credit Account agreement exists and overrides these Terms where conflicting.

1.2 All orders are subject to our approval. We reserve the right to reject any order without explanation. Payment received does not confirm order acceptance.

1.3 KPH Supplies reserves the right to modify these Terms at any time. Any changes will be posted on our website or other public platforms without prior notice.

2. Products and Availability

2.1 Product descriptions and specifications will be as outlined on our website or the most current catalogue at the time of the order.

2.2 If a product is unavailable or out of stock, we may cancel the order in full or in part, issue a refund, apply store credit, or seek the Customer's approval to modify the order.

2.3 By ordering age-restricted items (e.g. certain knives, chemicals), the Customer confirms they are over 18 years old, and that a person of legal age will be available to receive the delivery.

3. Pricing and Payments

3.1 Product prices are listed on our website or in our current catalogue. Prices are subject to change without notice. In the event of a discrepancy between online and catalogue pricing, we are not obliged to honor the lower price.

3.2 All prices are in Australian Dollars (AUD) and exclude GST unless stated otherwise. GST will be charged in accordance with Australian tax laws.

3.3 If a pricing error is identified, we are not required to honor incorrect prices.

3.4 Payment can be made using the methods listed on our website or invoice. For bank transfers, please use your Order ID as the payment reference.

3.5 We reserve the right to apply interest charges on late payments.

3.6 All transactions may be subject to additional credit and security checks.

3.7 Our Price Match Promise may apply to identical products offered under the same conditions by other Australian suppliers. The competitor’s product must be in stock and offer the same warranty and delivery service. Price matches exclude promotional bundles, hidden delivery costs, and affiliated companies.

4. Shipping and Delivery

4.1 Delivery fees and options are outlined on our website and may vary over time.

4.2 Deliveries to remote areas or for large and heavy items (e.g. refrigeration, ovens) may incur additional charges and longer lead times. These will be confirmed with the Customer prior to processing the order.

4.3 We strive to meet delivery estimates, but we are not liable for delays outside our control.

4.4 Risk transfers to the Customer upon delivery, but ownership remains with KPH Supplies until full payment is received. Damaged packaging should be reported immediately.

4.5 Installation, usage, and storage are at the Customer’s risk unless damage results from our negligence. Additional terms may apply for installation or removal services.

4.6 Large items are delivered to ground-floor entryways only. Any assistance beyond that is at the driver’s discretion and at the Customer’s own risk.

4.7 If delivery is refused, unsafe, or cannot be completed due to missing instructions or authorizations, risk will still transfer to the Customer, and any resulting costs (e.g. redelivery, storage) will be charged to the Customer.

5. Returns and Warranty

5.1 Unused goods in saleable condition with original packaging may be returned within 30 days for refund, exchange, or store credit. Restocking fees may apply to bulky or customised items. Certain hygiene-sensitive items are non-returnable.

5.2 Items such as cleaning chemicals, personal protective equipment, and disposable food packaging are not eligible for return or refund due to change of mind.

5.3 Any damages or defects must be reported within 24 hours of delivery. Faulty or missing items must be reported in writing within 28 days. Products returned without authorisation may not be accepted.

5.4 Returns do not apply where faults are caused by misuse or failure to follow instructions. Non-warranty service may incur call-out fees.

5.5 Nothing in these Terms limits the rights of customers classified as consumers under Australian Consumer Law. Orders under AUD $100,000 for personal or household use are covered by statutory protections.

5.6 Where applicable under consumer law, KPH Supplies guarantees that all products:

Are of acceptable quality;
Match the description provided;
Fulfil any stated warranties;
Are fit for their intended purpose.

6. Cancellations and Suspension

6.1 We reserve the right to suspend or cancel any order if payment is not received on time.

6.2 This agreement may be terminated if the Customer is declared bankrupt, becomes insolvent, or if a receiver or administrator is appointed over the Customer’s assets.

6.3 We may suspend or cancel obligations under this agreement in events beyond our control (e.g. natural disasters, government restrictions, supply disruptions).

6.4 Orders for restricted products may be cancelled if we suspect the Customer is not legally allowed to purchase them.

7. Liability Limitations

7.1 KPH Supplies is not liable for indirect losses, including but not limited to business interruption, downtime, or data loss arising from the use or purchase of our goods.

7.2 Insurance for deliveries is not included unless expressly agreed in writing at the time of order acceptance.

8. Intellectual Property & Privacy

8.1 All materials, product designs, and brand assets are protected under copyright and intellectual property law. Customers may not use or reproduce these without permission. Any breach may result in legal liability.

9. Governing Law

9.1 These Terms are governed by the laws of New South Wales, and both parties agree to submit to the jurisdiction of its courts.

9.2 If any clause in this Agreement is found to be unenforceable, the remaining terms will continue to apply to the fullest extent permitted by law.
